DraftWhat Counterpart does, who stays in control, what it costs, and where the caps sit.
What Counterpart is
- A commercial service, not a law firm. Evan reads your contracts, sets positions, and negotiates them.
- Our standing line: "Commercial view on market practice, not legal advice."
- A clause that needs a lawyer goes to the panel, at a fixed price you agree first. See when a clause needs a lawyer.
You stay in control
- Nothing reaches the other side without your approval.
- Any change to a money term comes back to you first. Price, payment days, liability cap, indemnity cap, fees, term length, and the rest of the tested list.
- A deal-breaker holds and waits for you. Evan recommends, he never walks on your behalf.
Plans and the scan fee
Prices are AUD, ex GST.

The human desk
- A Counterpart commercial manager may read your contract while reviewing one of Evan's drafts, before it reaches you.
- You consent to this when you sign up. It is logged, and you can see who at Counterpart opened your deal. See your data.
Acceptable use
- Counterpart is for your contracts and your own business. Pricing questions and negotiating strategy are fair game.
- It is not a general assistant. A question outside your business gets a friendly redirect.
- Fair use applies. A monthly allowance sits behind every plan, and Evan tells you when you are close to it.
Liability
- Our liability for a commercial view is capped at the fees you paid us in the last 12 months.
- We are not liable for your decision to sign or not sign. That call is always yours.
Cancellation
- Cancel any time.
- A live deal finishes or stops, your choice, before you go. See closing your account.
